Terms:
Non-brokered private placement (the "Private Placement") of up to 2,500,000 to 3,300,000 common shares of the Company (each, a "Share"), at a subscription price of $0.25 per Unit, for gross proceeds of up to $625,000 to $825,000.
There are no finder's fees or commissions associated with the completion of the Private Placement. The proceeds of the Private Placement will be used for the Company's general corporate and working capital. The Common Shares to be issued in connection with the completion of the Private Placement will be subject to a hold period of four months and a day from the date of issuance in each instance. |
